The Good Card Program Terms and Conditions

The Good Card offers two facilities (Good Affiliates and Good Connections), with a third on its way (Good Round Ups+), that turns everyday spending and purchase decisions into a passive revenue stream for community groups dealing with local initiatives and registered charities and NGO’s that are dealing with broader social and environmental issues.

We achieve this by enabling Good Account Holders/Members to earn cash rewards from participating in-store and online merchants and businesses, which can be seamlessly and transparently shared with the Members nominated beneficiaries.

Later this year (2019) we will enable our Members to opt into rounding up their transactions to the nearest $1, $2 or $5 which the Member can also share with their nominated beneficiaries.

Please read our Terms and Conditions carefully to ensure you fully understand how The Good Card Program works for you.

‘We’, ‘us’, ‘TGC’, ‘Good’ and ‘our’ refer to The Good Card Pty Ltd ABN 21 609 762 601

The owner of gooodpay is The Good Card Pty Ltd.

CASH REWARDS VIA GOOD AFFILIATES AND GOOD CONNECTIONS

  1. TGC enables it’s Members to earn cash rewards from in-store and online Participating Businesses and Retailers (also known as TGC Reward Partners)
  2. cash rewards are cash payments made to Members chosen beneficiaries, by The Good Card Pty Limited (TGC), on behalf of TGC Reward Partners
  3. cash rewards can be retained by the Member
  4. Members may only choose beneficiaries who are Registered Beneficiaries with TGC
  5. they are calculated on a predetermined percentage of a total purchase value (less delivery costs in some cases) on a successful transaction from our Reward Partners (inclusive of any taxes, including any GST, included on the transaction)
  6. in some cases, a predetermined percentage of any generated cash reward can be automatically allocated to a single Beneficiary with the Member managing the remaining percentage as per Point 2 of this section
  7. TGC retains 20% of any rebate value that is generated as a means to fund the operating costs with the aim of reducing this to 10% or less

  8. For example
    TGC Cardholder has chosen to split and share their rebates the following way:

    20% for themselves
    40% for the local footy club
    40% for the local school

    The Member then uses their Members Card to pay for goods worth $100.00 from a participating merchant or business offering 10% cash back on the total purchase value.

    $100.00 is immediately deducted from the current balance of the Members Visa Prepaid Card to pay for the goods ($100.00)
    TGC Member is immediately entitled to an $8.00 rebate ($10.00 less TGC’s 20%), which TGC will collect and allocate as per the Members current allocations:

    $1.60 for themselves
    $3.20 for the local footy club
    $3.20 for the local school


  9. rebates are calculated post purchase and accrued on a daily basis
  10. rebates retained by The Good Card Cardholder are converted into Australian dollars and loaded onto their Members Card by TGC on or near the first Tuesday of each month provided that an amount of $5 or more has been accrued
  11. rebates allocated to the Member’s nominated beneficiaries are reconciled and held on behalf of the beneficiary by TGC
  12. rebates allocated to Registered Beneficiaries are converted into Australian dollars and deposited into the beneficiary’s nominated trading account by TGC on a quarterly basis or when the total rebate value has reached $100.00
  13. the rebate value associated with any TGC Rewards Partner will NOT be included in any refund arrangement with TGC Reward Partners unless stated otherwise by the TGC Reward Partner
  14. TGC reserves the right to adjust (retrospectively or otherwise) Cashback at its absolute discretion in the event of incorrect calculating and/or crediting of Cashback whether due to its own error or for any other reason.

ROUND UPS VIA GOOOD CONNECTIONS – AVAILABLE LATE 2019

Late this year (2019) Members will be able to opt in to round up to the nearest $1, $2 or $5 on debit transactions relating to the bank accounts that the Member has connected with their Goood Account, and distribute them much the same way as the Member chooses to distribute their earned cash rewards.

Round ups, like cash rewards, can be passed onto the Members chosen beneficiaries to help boost the beneficiaries fundraising.

Round ups, like cash rewards, are calculated and accrued on a daily basis.

They are collected from the Members bank accounts on a monthly basis, via a direct debit facility which is managed by Split Payments, our Open Banking Payments Platform partner.

Some other key points, which will be updated over the coming months, include:

  • TGC DOES NOT RETAIN any portion of a Members round up for themselves. That is, 100% of the Members round ups are distributed as per the Members current SPLIT settings
  • collected round ups are held by TGC, until the Members savings goal has been reached, or the beneficiaries fundraising target has been met
  • rounding up is applied to every debit transaction associated with the bank account that the Member has connected to their Good Account
  • the ‘+’ component of the feature relates to our potentially adding addition fundraising/savings features including one of donations that are distributed as per the Members current Splits, and recurring payments that are handle much the same way
  • more to follow as we further develop our Round Ups+ application

GOOOD CONNECTIONS
Goood Connections is our product that operates in Open Banking. Basiq are our Open Banking Partners and it is their technology that we use to connect Good Accounts with the account holders nominated credit/debits. This in turn facilitates two goood outcomes:

  1. enables any credit/debit card to generate/earn cash rewards when paying for goods and services from our in-store and all online reward partners
  2. enables us to calculate round ups (to the nearest $1, $2, or $5) if the Goood Account Holder has opted for this feature, for all debits associated with any Good Connections accounts

Part of our partnership responsibility is for us to provide Basiq’s Terms and Conditions within our own Terms and Conditions, as follows:

1. PROVIDE ACCURATE INFORMATION

Each User (this being a Good Account Holder that has connected their bank account(s) to their Good Account) agrees to provide and warrant that all information provided or otherwise submitted via the Services is true, accurate and complete.

Each User acknowledges and agrees that it is responsible for its use of the Services and that:

each User uses the Services at their own risk;

the Services will only be used for the User’s own lawful purpose in accordance with this Minimum User Terms; and

if there are any unauthorised access or use of the Services or any breach of security, the User must immediately notify TGC of such activity.

2. PROPRIETARY RIGHTS

The User represents and warrants it is permitted to use content delivered to the User via the Services. The User may not copy, reproduce, distribute or create derivative works from this content. The User agrees not to reverse engineer any of the source code or technology associated with the Services.

3. CONTENT AND DATA

Your use of the Services supplied by TGC is subject to interoperation of services supplied by third party websites or applications. By using the services, you appoint TGCy as your limited agent authorised to: access such third party websites or applications, servers, documents and information as designated by you; use your information; and perform all acts as required for TGC and Basiq to supply Services to you.

Each User is licensing to TGC and its service providers (including but not limited to Basiq) (Service Provider) any information, data, materials or other content the User provides through or to the Services (Content), the right to use, modify, display, manipulate and create derivative works using such Content and provide the Services to the User.

Each User acknowledges and agrees a Service Provider may also use, sell, license, reproduce, distribute and disclose aggregate, non-personally identifiable information that is derived through the User’s use of the Services.

4. DISCLAIMERS

Each User acknowledges and agrees that:

its use of the Services and all information, products or content are provided to such User in good faith on an “as is” and “as available” basis. To the fullest extent permitted by law, the User and Service Providers expressly disclaim all warranties of any kind as to the Services and all information, products and other content (including that of third parties) included in or accessible from the Services;

the User is responsible for determining the suitability of any Services and such User relies on any Content or other information provided via the Services at its own risk;

use of the Services, Content and other information provided by TGC and Service Providers is at their own risk and the restrictions applicable to TGC are equally applicable to the User;

TGC and Basiq makes no warranty that:(i) the Services will meet the User’s requirements; (ii) the quality of the Services will meet the User’s expectations; (iii) the Services will be uninterrupted or error-free; (iv) any information, product or content obtained via the Services will be accurate or reliable; and (v) any errors in the software or technology will be corrected.

the User downloads or otherwise obtains through the use of the Services the material or data at its own discretion and risk and that the User will be solely responsible for any infections, contaminations or damage to their computer, system or network; and

TGC and Basiq are not responsible or liable for delays, inaccuracies, errors or omissions arising out of any User’s use of the Services, any third party software, services or operating system.

5. LIMITED WARRANTIES

The User warrants that:

it has the power, right, authority and entitlement to execute these Terms and perform its obligations under these Terms;

it has full corporate power to execute, deliver and perform its obligations under these Terms;

these Terms constitute a legal, valid and binding obligation of it enforceable in accordance its terms by appropriate legal remedy; and

in entering into and performing its obligation under these Terms it has not and will not be in breach of any relevant law or any obligation owed to another person.

6. INDEMNITY

Each User agrees to be liable for and to indemnify, defend and hold Basiq harmless from and against any and all claims, liabilities, suits, actions and expenses, including costs of litigation and reasonable legal costs, resulting directly or indirectly from:

any violation of these Terms or of any intellectual property or other right by the User;

any use or misuse of the Services, Content or data from or by the User, its employees, contractors or agents or any third party; and

any breach of law, regulation or licence by a User.Each User agrees that Basiq is a third party beneficiary to the above provisions, with all rights to enforce such provisions as if Basiq is a party to these Terms.

7. BASIQ A PARTY

Each User acknowledges and agrees that:

the User enters into these Terms with TGC who, for the purposes of accepting these Terms, is acting as limited agent for Basiq; and

each User agrees that Basiq is a third party beneficiary to the above provisions, with all rights to enforce such provision as if Basiq were a party to these Terms.


The Good Card Member Requirements

By becoming or continuing to be a Member of TGC, you acknowledge and agree:

  1. to providing your correct personal details when joining gooodpay
  2. to pay an annual membership fee, currently $AU20, which, at present, is completely waived by TGC until further notice
  3. that the cash rewards you have earned through spending with our Reward Partners will be calculated on a daily basis
  4. that your cash rewards will be allocated daily in accordance with your current Splits
  5. that your pending rebates will be fulfilled, and distributed as per the above Section 1. Cash Rewards, points 6, 7 and 8
  6. that the cash reward value associated with any TGC Rewards Partner will NOT be included in any refund arrangement with gooodpay Reward Partners unless stated otherwise by the Reward Partner
  7. that your Good Account may also be credited with Bonus Cash Rewards as a result of promotional or incentive programs offered by TGC from time to time
  8. to contact TGC if you have a general complaint or dispute relating to your cash rewards and round ups

Reward Partner Requirements and Obligations

Application to becoming a Good Card Program Rewards Partner is achieved upon submitting a successful application via The Good Card website, www.thegoodcard.com.au.

By becoming or continuing to be a Rewards Partner, you acknowledge and agree to:

  1. provide the correct Merchant details to enable The Good Card to fulfil their obligations
  2. immediately notify TGC of any changes to Merchant details that would affect TGC’s capacity to fulfil its obligations and commitments
  3. provide a Members rebate of no less than 3% (unless otherwise agreed to by TGC) of the total purchase value on a successful transaction (inclusive of any taxes, including GST, included on the transaction) made by TGC Members, to be paid in Australian dollars to TGC in accordance with point 6 below
  4. that Members can request that TGC pass on their rebate with Registered Beneficiaries of their choice
  5. either authorising TGC, via our payments partners Split Payments, to debit your nominated business trading account on a monthly basis (or as required) the total value of funds required to fulfil your participation as a TGC Rewards Partner, or prepaying such funds to the minimum value of $100 which will be drawn upon as required
  6. ensure appropriate funds are available in your nominated business trading account to honour TGC Member rebates
  7. provide TGC a minimum of 60 days notice should you wish to discontinue being a TGC Reward Partner
  8. grant TGC permission, in its effort to create a richer user experience for all TGC user groups (Members, Reward Partners, Beneficiaries) to use and incorporate key branding material (brand name, logo, trade marks etcetera) into their marketing material, program delivery channels including websites, blogs etcetera.

Beneficiary Requirements and Obligations

Application to becoming a Good Card Program Beneficiary is achieved upon submitting a successful application via The Good Card website, www.thegoodcard.com.au.

By becoming or continuing to be a Registered Beneficiary, you acknowledge and agree to:

  1. becoming/providing a Project Champion who is to be TGC’s primary point-of-contact
  2. provide details of the community-group or not for profit project that you wish to raise funds for, including amount required if applicable
  3. if applicable, id verification of the Project Champion
  4. provide confirmation of your not for profit or charity status
  5. provide community-group or not for profit entity details including peak body registration details if applicable
  6. provide community-group or not for profit banking details including bank account name, BSB and Account numbers
  7. provide a copy of a blank cheque (should the community-group or not for profit have such a facility) if banking verification is required
  8. grant TGC permission, in its effort to create a richer user experience for all TGC user groups (Members, Reward Partners, Beneficiaries) to use and incorporate key branding material (brand name, logo, trade marks etcetera) into their marketing material, program delivery channels including websites, blogs etcetera.

The Good Card Obligations and Commitments

  1. to diligently and transparently manage The Good Card Program
  2. to keep all TGC user groups (Members, Reward Partners, Beneficiaries) abreast of all pending and fulfilled rebates
  3. to calculate all rebates on a daily basis
  4. to process all pending rebates on the first Tuesday of each month, or as required
  5. to ensure that all information made available to TGC user groups is correct and up to-date, in accordance with these Terms and Conditions.
  6. to work with all TGC user groups (Members, Reward Partners, Beneficiaries) in an open and transparent way as the means by which to resolve potential issues

Section VII. General

  1. The following are defined terms are used in these Terms and Conditions:
    • TGC Member or Member is an individual that has gained access to The Good Card Program
    • Reward Partner is business who has offered TGC Members a rebate which is calculated on a predetermined percentage of total value spent by a TGC Member with them
    • Registered Beneficiary is a community group or registered charity or NGO that has been granted access to The Good Card for purposes of receiving shared rebates as a means by which to generate additional revenue which is utilised independently of TGC and in a way as the Beneficiary sees fit
    • Merchant is a category of Reward Partners that typically operates from within bricks and mortar stores and/or online stores
    • Purchase Value is the total value of a successful transaction (inclusive of any taxes, including any GST, included on the transaction) made from a Good Card Visa Prepaid Card at point-of-sale terminal to which Cashback is earned
  2. Privacy– TGC does not hold any Credit/Debit Card numbers to operate The Good Card Program, nor Internet Banking Credentials. TGC does, however, store limited personal information of Members, Reward Partners and Beneficiaries to manage the Program. These details may be shared, from time to time, with parties who provide TGC with the financial product services that are made available to you to participate in The Good Card Program.   3. Suspension or termination – TGC will at all times work towards resolving any Member, Rewards Partner or Beneficiary concerns or misunderstandings about the Terms and Conditions however we do reserve the rights to suspend or terminate any Member, Participating Business or Beneficiary from participating in The Good Card Program for any unreasonable Member, Rewards Partner or Beneficiary behaviour that contravenes these Terms and Conditions.
  4. Changes to these terms and conditions can be made from time to time by TGC with Members, Reward Partners and Beneficiaries being notified via their respective Good Card Dashboards 30 days minimum prior to any changes. Some changes will also be published directly and be publicly available on The Good Card website www.thegoodcard.com.au
  5. Members, Reward Partners and Beneficiaries are able to access all transactional information, including that associated with earned, provided and received Cashback, by logging into www.thegoodcard.com.au and viewing their statement which can be downloaded as required. Queries and disputes can be directed to The Good Card by email at [email protected]
  6. Members, Reward Partners and Beneficiaries should seek their own advice as to the taxation consequences of participation in The Good Card Program. TGC makes no warranties or representations, and provides no advice, on the tax effect of any person’s participation in The Good Card Program.
